Introduction

These Terms of Service ("Terms") govern your access to and use of Manualess.com (collectively, "Manualess", "we", "us", or "our") and any related applications, tools, or services (the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you agree to these Terms on that organization's behalf and represent that you have the authority to bind that organization.

Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services. The Services are intended for business and professional use. By using the Services, you represent and warrant that you meet these requirements.

Account Registration and Security

To access certain features, you may need to create an account. You agree to provide accurate and complete information and to keep that information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account or any other breach of security.

Services

Manualess provides document ingestion, data extraction, workflow automation, and related analytics tools designed to reduce manual data entry. We may make improvements, add new features, or discontinue parts of the Services at our discretion. Any new features are also subject to these Terms.

Document Processing and Data Use

You retain all rights to the documents and data you upload to the Services ("Customer Data"). By uploading Customer Data, you grant Manualess a limited license to process, store, and use it solely as necessary to provide and maintain the Services.

We do not sell Customer Data. We may monitor use of the Services to detect and prevent fraud, abuse, or security incidents, and we may anonymize and aggregate data for analytics, benchmarking, and product improvement. Aggregated data will not identify you or your organization.

User Responsibilities

You are responsible for complying with all laws and regulations applicable to your use of the Services, including data protection laws in the jurisdictions where you operate.

You agree not to:

• Upload or transmit content that infringes the rights of others, is unlawful, or contains malicious code.
• Attempt to access or modify the Services without authorization or interfere with their proper functioning.
• Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services except as permitted by law.
• Use the Services to process personal data subject to special protections (such as health or biometric data) unless permitted by applicable law and explicitly agreed by us in writing.

Fees and Payment

Access to the Services may require subscription fees or usage-based charges as described in your order form or online plan. You authorize us to charge you for all agreed fees. Unless stated otherwise, fees are non-refundable, and all amounts are exclusive of taxes, which you are responsible for paying.

Late payments may result in suspension or termination of the Services.

Confidentiality and Data Security

We will implement commercially reasonable safeguards to protect Customer Data from unauthorized access, use, or disclosure. Both parties agree to keep confidential information disclosed by the other party confidential and use it only as necessary to perform their obligations under these Terms.

If we become aware of unauthorized access to Customer Data, we will notify you without undue delay and provide information about the incident consistent with applicable law.

Intellectual Property

The Services, including all software, features, and content provided by us, are owned by Manualess or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no other rights are granted, whether by implication, estoppel, or otherwise.

Any feedback or suggestions you provide may be used by us without restriction and without obligation to you.

Third-Party Services

The Services may integrate or interoperate with third-party products and services. Third-party terms may apply, and we are not responsible for third-party products. Your use of third-party services is solely at your own risk.

Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Manualess disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that the results derived from using the Services will be accurate or reliable.

Limitation of Liability

To the maximum extent permitted by law, Manualess and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising out of or related to the Services is limited to the greater of (a) the amount you paid to us for the Services during the twelve (12) months before the event giving rise to the claim, or (b) one hundred dollars (US $100).

Indemnification

You agree to indemnify, defend, and hold harmless Manualess and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Suspension and Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if your use poses a security or legal risk. You may terminate your account at any time by following the instructions within the Services or contacting us. Upon termination, you remain responsible for all fees incurred before termination, and certain provisions of these Terms will survive, including those related to confidentiality, intellectual property, and limitations of liability.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, legal requirements, or business practices. When we make material changes, we will provide notice by updating the "Last Updated" date at the top of this page and, if appropriate, by sending additional notification. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
